What Happens When You Default on a Merchant Cash Advance

Most MCA agreements define default broadly: missing even a single daily or weekly ACH payment can trigger it, and what follows can unfold in weeks, not months. The funder attempts more withdrawals, often several times a day, which can add NSF fees from your bank. A formal default notice demands the full remaining balance. Many agreements let the funder send a restraining notice or levy to your bank, freezing the operating account that covers payroll and vendors. Funders usually file UCC-1 financing statements at origination and may enforce those liens against equipment, inventory, and receivables. If your agreement includes a confession of judgment, the funder may obtain a judgment without a trial; otherwise it may sue for breach of contract, often in New York, naming the business and any personal guarantors.

A default does not end your options. Funders often negotiate a settlement or modified payment plan when the alternative is costly litigation. Do not ignore the funder, close your bank account without a plan, or sign a new MCA to pay off the old one. This is general information, not legal advice; MercResolution is not a law firm.

Confession of Judgment and Default Judgment: What to Do First

A confession of judgment (COJ) is a document, usually signed the day an advance funds, that waives your right to defend yourself in court before any dispute exists. If the funder declares a default, its attorney can file it and have judgment entered, often without a lawsuit, a hearing, or a warning; many owners learn of it only when an account is frozen. New York stopped entering confessions against out-of-state debtors in 2019, but some states still allow commercial COJs. A default judgment is different: it is entered when a business does not answer a lawsuit by the court’s deadline, typically 20 to 30 days.

First, pull the court file and your complete funding package, including the return of service and any COJ affidavit. Second, find the deadline: the clock usually runs from the date the judgment was signed, not the day you found out. Third, have a licensed attorney review grounds to vacate, such as defective service, excusable neglect with a meritorious defense, or lack of jurisdiction. Filing a motion does not automatically stop a garnishment, and settlement talks usually run at the same time. This is general information, not legal advice; MercResolution is not a law firm.
